Innovate through CommUNITY: A Virtual Spring Conference March 27 & 28, 2021
This Presenter Agreement is for the personal services of an individual to present a session at the virtual event to be described below, is made between the Connecticut Music Educators Association, Incorporated, a duly organized Connecticut corporation with a principal place of business of 367 Main Street, Cromwell, Connecticut (hereinafter called the “CMEA”) and the undersigned Presenter, hereinafter called the “Presenter”, for the personal services of the Presenter. The CMEA is a nonprofit, tax-exempt entity under Section 501(c)(3) of the Internal Revenue Service Code. This Presenter Agreement constitutes the entire agreement between the parties, and supersedes any oral representations, preliminary discussions or predicate negotiations that pre-date this Agreement.

Presenters must indicate their agreement to the items specified below in BOTH sections I and II on this page. If agreement is not possible, the presenter should indicate so in the Notice of Non-Agreement at the bottom of this page.
I. General Terms and Conditions
I agree to the General Terms and Conditions specified below
(a) The Presenter, in the performance of this agreement shall act in the capacity of an independent party and not as an officer, employee or agent of the CMEA. As such, the parties will each be responsible for their own acts of negligence as determined by law.
(b) The Presenter agrees to present the session solely as it was represented in their session proposal which was selected by the conference committee unless changes were agreed upon through discussion with and approval of the conference chairperson.
(c) Details and manner of speech or presentation are under the control of the Presenter. However, the CMEA has the right to direct Presenter to discontinue any activity constituting a violation of CMEA policy, as well as any federal, state, or local laws.
(d) Anticipated starting times specified to the presenter by the conference chairperson, are subject to minor modifications because of unanticipated occurrences, are of the essence and hence, Presenter is required to be at the place of performance a sufficient period of time prior to schedule time of commencement so as to permit timely presentations.
(e) Either party may cancel this Presenter Agreement without obligation to the other if cancellation notice is received in written form at least 20 days before appearance date.
(f) If, due to illness, accident, or other causes legally known as “Acts of God”, Presenter or CMEA is forced to cancel a Presenter Agreement, or a Presenter appearance or function, neither party, nor any representative thereof, shall be liable for any compensation to the other.
II. Ownership of and Authority to Use Content and Materials
I agree to the below regarding ownership and authority of content and presentation materials
(a) The Presenter does hereby affirmatively represent that he or she has full legal authority to present, discuss and/or disseminate all of the information, data, content or webinar materials, written or oral (hereinafter “the Content”) that he or she intends to use during the presentation, and that the Presenter has, prior to Presenter’s presentation, fully complied with any and all applicable copyrights, intellectual property rights, proprietary rights, or any other such legal protections that may apply to the Content, and the Presenter’s development thereof. Furthermore, the Presenter does hereby represent and confirm that he or she has full legal authority to use webinar/video platform for such content in the presentation.
(b) The Presenter does hereby agree to indemnify and hold harmless the CMEA for any and all claims that may be presented to or made against the CMEA for any alleged violations of any of the content-based legal protections described or referred above in section (a), including any and all attorney’s fees, costs of defense, and the like.
(c) The Presenter hereby irrevocably grants and assigns to the CMEA the right, without future royalty, compensation, or other future user fee, to:
(1) record, via digital means or otherwise, the Content, including all oral presentations, and any documents and materials associated therewith, as presented by the Presenter
(2) Make available to virtual conference registrants, access to these materials for a period no greater than 90 days.
Notice of Non-Agreement
I can not agree to the Terms and Conditions required of Presenters for this event. Please remove my session from the conference schedule.
